A part-time secretary is one who accepts appointment as a secretary in more than one company. A person may be the secretary of more than one company only if none of the companies has a paid-up share capital of rupees twenty-five lakhs or more. Thus, a person may be a part-time secretary in companies of small sizes only. If a person is secretary of more than one company, his knowledge as secretary of one company is no notice to him as secretary of the other company unless it is his duty to the first company to communicate his knowledge to the second company [Re Fenwick, Stobart & Co. (1902)].
